1. Prices and Service – Description of Standard Products
By entering into this contract, the Licensee confirms they are an entrepreneur according to § 14 BGB.

 

1.1 Selection of Packages
When subscribing to the free 14-day trial, the Licensee can use the software with the features described in the “Networking” or “Networking & Orchestration” plan (found here) free of charge for 14 days on 5 nodes. After the 14-day trial, the free trial automatically becomes an annual subscription with monthly billing. Staex will contact the Licensee to adjust the plan.

 

1.2 Contract Term and Termination
Unless otherwise agreed, the free 14-day trial can be canceled in writing at any time during this period. The paid annual subscription has a 12-month term and can be canceled in writing one month in advance before the end of the contract term.

 

1.3 Right of Use
The software may be used only by the Licensee for the purposes specified in the contract. Further use, such as subletting, requires Staex’s prior written consent. Unless otherwise agreed, Staex grants the Licensee the simple right to use the software during the rental period on its premises for its own internal purposes, within the contractually agreed scope.

 

1.4 Additional Services
Additional services go beyond those described in the packages under A.1. During the contract period, the customer is entitled to 3 hours of free support per month unless otherwise agreed. Any additional support hours will be charged by Staex at €120.00 per hour.

 

2. Conditions

 

2.1 Payments
All prices are net plus applicable VAT. Staex may issue monthly invoices, which are due immediately. If services are billed on a time and material basis, Staex will provide proof of work performed with a timesheet. Unless otherwise agreed, the remuneration will be calculated based on Staex’s rates in effect at the time of contract conclusion.

 

2.2 Liability
If the software is provided free of charge, any liability is excluded. Otherwise, liability for material defects is excluded unless Staex fraudulently conceals a defect. Staex is only liable for intent and gross negligence.

 

2.3 General Terms and Conditions of Staex
Staex’s General Terms and Conditions apply exclusively.
